Common use of Interim Operations of the Buyer Clause in Contracts

Interim Operations of the Buyer. Prior to the Closing, unless the Sellers have otherwise consented in writing thereto, the Buyer shall not: (a) take any action or omit to take any action for the purpose of directly or indirectly preventing, materially delaying or materially impeding the consummation of the transactions contemplated by this Agreement; (b) directly or indirectly authorize any of, or commit or agree, in writing or otherwise, to take any action or actions which would make any representations of the Buyer set forth in this Agreement untrue or incorrect in any material respect; and (c) enter into any binding agreement to do any of the foregoing.
