Common use of Internal Disclosure Clause in Contracts

Internal Disclosure. Each Party may disclose Information only to those of its Affiliates and to its and their directors, officers, employees, agents, professional advisors and consultants who have a bona fide need to know the Information, it being understood that such Affiliates, directors, officers, employees, agents, professional advisors and consultants shall be informed of the confidential nature of such Information and shall be required to treat such Information confidentially.

Each Party may party acknowledges and agrees that it will only disclose the Confidential Information only to those of its Affiliates and the other party to its and their directors, officers, employees, agentsconsultants, professional advisors associates, lab technicians and consultants any and all contractors or subcontractors (collectively “Agents”) who have a bona fide need such Confidential Information to know perform the Information, it being understood party’s obligations under this Agreement and that such Affiliates, directors, officers, employees, agents, professional advisors and consultants these Agents shall be informed of under the confidential nature of such same obligation with respect to the Confidential Information and shall be required to treat such Information confidentiallyas the receiving party.
