Common use of Internalization of the Advisor Clause in Contracts

Internalization of the Advisor. In the event that the Company's assets and income are, in the view of the Board of Directors, including a majority of the Independent Directors, of sufficient size such that internalizing the management functions by the Advisor and the Property Manager is in the best interests of the Stockholders, the compensation payable to the Advisor upon such internalization shall be agreed upon by the Independent Directors and the Advisor.
