International Registry evidence in a priority search certificate from the International Registry that there are no International Interests, prospective International Interests or other interests registered in the International Registry in relation to the Airframe or any Engine;
International Registry. At or promptly after Closing, upon request by Buyer, Seller shall provide any consents required to register a contract of sale for the sale of the Aircraft on the International Registry.
International Registry. Borrower and Lender shall comply with the Cape Town Convention Protocol for International Registry Regulations and Procedures regarding the International Registration of the Aircraft prior to closing. Each party shall bear the cost for registration of their company with the International Registry and any fees associated therewith.
International Registry. Each Obligor warrants that none of the Aircraft are capable of transporting eight (8) or more persons (including crew), or goods in excess of 2750 kilograms and that each Engine has less than 550 rated takeoff shaft horsepower or the equivalent of such horsepower.
International Registry. 9.5.1 The Seller will consent to the contract of sale registrations with the International Registry of Mobile Assets (“International Registry”) at or promptly following the Delivery of each Aircraft, consistent with the Seller’s customary practices.
International Registry registrations and consents on behalf of the WEST and the Managed Group Members with the International Registry contemplated by Section 2.02 of Schedule 2.02(a) to the Servicing Agreement and/or Section 3.06 and/or Section 3.12 of the Security Trust Agreement, and in connection therewith, acting as the International Registry administrator of WEST and, except to the extent such function is performed by the Asset Trustee for the relevant Asset Trust, each other Managed Group Member.
International Registry. Airlines shall establish a valid and existing account with the International Registry and appoint an Administrator and/or a Professional User (each as defined in the Cape Town Treaty) reasonably acceptable to the Collateral Agent to make registrations in regards to the Pledged Spare Engines. Collateral Agent and Airlines shall register and hereby by consent to registration of a first priority Prospective International Interest or International Interest, in connection with the Pledged Spare Engines which shall be searchable in the International Registry to the satisfaction of Collateral Agent.
International Registry. Seller acknowledges and agrees that it will cooperate with Buyer in order to register the Xxxx of Sale for each Engine delivered under this Agreement as a contract of sale on the International Registry of Mobile Assets established pursuant to a Convention on International Interests in Mobile Equipment, adopted on November 16, 2001 in Cape Town, South Africa, within forty-eight (48) hours following the Closing of each Engine.
International Registry. Seller and Buyer shall each apply to the International Registry for approval as a “Transacting User Entity”, and at Closing, Seller shall either provide its consent, or shall designate Escrow Agent as Seller’s Professional User Entity for the purpose of providing consent, to the registration of an international interest evidencing the transfer of title to the Aircraft to Buyer. For the avoidance of doubt, the parties hereby agree that Seller shall have no obligation to consent to any registration on the International Registry until such time as Escrow Agent has received the Purchase Price. Buyer hereby acknowledges and agrees that, without specific authorization in writing from Seller to the contrary, Buyer will not register, or consent to or allow any registration whatsoever (including a registration of a prospective international interest or prospective contract of sale) against the Aircraft pursuant to the Cape Town Convention. Buyer shall be solely responsible for all fees, costs and expenses of the registration of the international interest with the International Registry, excluding only the fees for Seller to register as a “Transacting User Entity” which shall be borne by Seller.
International Registry. If Borrower shall thereafter repay the Drawings in respect of any such Aircraft or Section 4.2 of the Security Agreement shall become applicable, Security Agent agrees to take actions requested by Borrower as may be necessary to discharge from the International Registry any prospective international interest, international interests or associated rights as may have been made or filed pursuant to the preceding sentence in respect of such Aircraft.
