INTERPRETATION, JURISDICTION, ETC. This Agreement constitutes the whole agreement between the parties to this Agreement relating to the wholesaling activities contemplated in this Agreement, and supersedes all prior oral or written negotiations between the parties to this Agreement with respect to the subject matter of this Agreement. The parties acknowledge that the Company, the Distributor and the Fund have entered into the Participation Agreement in contemplation of entering into this Agreement. This Agreement shall be construed and the provisions of this Agreement interpreted under and in accordance with the internal laws of the Commonwealth of Massachusetts without giving effect to principles of conflict of laws.
