Common use of INTERPRETATION, JURISDICTION, ETC Clause in Contracts

INTERPRETATION, JURISDICTION, ETC. This Agreement, together with the Related Agreements, constitutes the whole agreement between the parties hereto with respect to the subject matter hereof, and supersedes all prior oral or written understandings, agreements or negotiations between the parties with respect to such subject matter. No prior writings by or between the parties with respect to the subject matter hereof shall be used by a party in connection with the interpretation of any provision of this Agreement. This Agreement shall be construed and its provisions interpreted under and in accordance with the internal laws of the state of Maryland without giving effect to principles of conflict of laws. This Section 8.3 shall not be construed to deny Security Benefit, or an Affiliate thereof, of any rights to which it is entitled as an owner of shares of the Fund.
