Interpretation; Jurisdiction. This Agreement constitutes the whole Agreement between the parties hereto with respect to the subject matter hereof, and supersedes all prior written or oral understandings, agreements or negotiations between the parties with respect to such subject matter. No prior writings by or between the parties with respect to the subject matter hereof shall be used by either party in connection with the interpretation of any provision of this Agreement. This Agreement shall be construed and its provisions interpreted under and in accordance with the laws of the state of Iowa without giving effect to principles of conflict of laws.
