References If applicable Law requires that any payment pursuant to “foreign,” “outside this Agreement be made in local currency, the United States,” “non-United States” or parties shall use the applicable exchange rate published in the Wall Street Journal as of such date. Whenever conversion of payments from any similar phrase foreign currency for a particular period shall be deemed references to jurisdictions outside required, such conversion shall be made at the average of the United States.
