Common use of Intervening Death Clause in Contracts

Intervening Death. If a Shareholder becomes an Inactive Shareholder before the Time of Closing of a Sale Transaction pursuant to the provisions of Article 13 as a result of the death of the Shareholder, the provisions of Article 14 shall apply and the provisions of this Article (except for this section) shall be suspended until completion of the Sale Transaction contemplated by Article 14.
