Common use of Invalid Transfers/Encumbrances Clause in Contracts

Invalid Transfers/Encumbrances. Any purported Transfer or Encumbrance of Shares in violation of this Agreement shall be null and void and shall not operate to Transfer or Encumber any right, title or interest to or in favor of the purported transferee, and the Company shall not recognize or give effect to any such purported Transfer or Encumbrance.
