Invalidity and Enforcement Clause Samples

The "Invalidity and Enforcement" clause defines how the contract will be affected if any of its provisions are found to be invalid, illegal, or unenforceable. Typically, this clause states that the remainder of the agreement will remain in force even if a specific part is deemed unenforceable by a court, and may allow for the problematic provision to be modified to the extent necessary to make it valid. Its core function is to ensure that the contract as a whole is not voided due to one defective clause, thereby preserving the parties' overall agreement and intentions.
