Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases fails to give the Administrative Agent any material part of and/or the Liens Lenders the rights, powers and privileges purported to be created therebyby the Loan Documents; or any Loan Party or any other Person on behalf of a Loan Party contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created thereby; or any Loan Party the Borrower or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party the Borrower denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect (unless such cessation would not affect the obligations of any applicable Loan Party or ceases to give the Administrative Agent rights and remedies of any Credit Party, in each case, in any material part of the Liens purported to be created therebyrespect); or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability Liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or.

Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases against any Loan Party party to give such Loan Document (or, in the Administrative Agent any material part case of the Liens purported to be created therebyIntercreditor Agreement, against any party thereto); or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan DocumentDocument (other than as a result of Payment in Full), or purports to unilaterally revoke, terminate or rescind any provision of any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any Equity Investor contests in any manner the validity or enforceability of any provision of any Loan Document; or any other Person contests in writing in any judicial proceeding in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party or any Equity Investor denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Any Loan Document or any provision of any Loan Documentthereof, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party Party, or any other Person Subsidiary that is party to a Collateral Document, contests in any manner writing the validity or enforceability of any Loan Document or any provision of any Loan Documentthereof; or any Loan Party Party, or any Subsidiary that is party to a Collateral Document, denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan DocumentDocument or any provision thereof; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests contests, in writing, in any manner the validity or enforceability of any provision of any Loan DocumentDocument for any reason other than as expressly permitted hereunder or thereunder prior to the satisfaction in full of all the Obligations; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan DocumentDocument for any reason other than as expressly permitted hereunder or thereunder prior to the satisfaction in full of all the Obligations; or

Invalidity of Loan Documents. Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations (other than any Unmatured Surviving Obligations), ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person Subsidiary of any Loan Party contests in any manner writing the validity or enforceability of any material provision of any Loan Document; or any Loan Party denies in writing that it has any or further liability or obligation under any material provision of any Loan Document, or purports to revoke, terminate or rescind any material provision of any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent Agent, for the benefit of the Lenders, any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision Loan Document (other than as a result of any Loan Documentrepayment in full of the Obligations and termination of the Aggregate Commitments), or purports to revoke, terminate revoke or rescind any Loan Document; or

Invalidity of Loan Documents. Any Loan Document or any provision thereof (including, without limitation, the subordination provisions of any Loan DocumentSubordination Agreement), at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any Loan Document or any provision of any Loan Documentthereof; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan DocumentDocument or any provision thereof or any Collateral Document shall for any reason cease to create a valid and perfected first priority Lien on the Collateral purported to be covered thereby (subject to Section 7.05); or

Any provision Loan Document or any Lien on a material portion of the Collateral granted under any Loan Security Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of Loan Document or any Loan Lien granted under any Security Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document or any Lien granted under any Security Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent Agent, for the benefit of itself and the Lenders, any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any Subject to the Legal Reservations, any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part is declared by a court of the Liens purported competent jurisdiction to be created therebynull and void, invalid or unenforceable in any respect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give in any material respect which impairs the Administrative Agent Agent’s rights and remedies hereunder or releases any Borrower from any of its material part of the Liens purported to be created therebyobligations hereunder; or any Loan Party or any other Person Borrower contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party Borrower denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or.

Invalidity of Loan Documents. Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the ObligationsObligations (other than contingent indemnification obligations for which no claim has been asserted), ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any material provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any material provision of any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases fails to give the Administrative Agent any and/or the Lenders the Liens, material part of the Liens rights, powers and privileges purported to be created therebyby the Loan Documents; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Secured Obligations, ceases to be in full force and effect (other than as a result of any action taken or ceases omitted to give be taken by the Administrative Agent or any material part of the Liens purported to be created therebyLender); or any Loan Party or any other Person (other than the Administrative Agent or any Lender) contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent Agent, for the benefit of the Lenders, any material part of the Liens purported to be created thereby; or any Loan Party or any other Person Affiliate of a Loan Party contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason (other than as expressly permitted hereunder or thereunder thereunder, or as a result if the satisfaction in full of all the Obligations, or any action or failure to act on the part of Agent or any Lender), ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder the agreement of all the Lenders or thereunder or termination of all Commitments and satisfaction in full of all the ObligationsObligations (other than contingent indemnity obligations and L/C Obligations that are Cash Collateralized), ceases to be in full force and effect effect, or ceases is declared by a court of competent jurisdiction to give the Administrative Agent be null and void, invalid or unenforceable in any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Documentrespect; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases fails to give the Administrative Agent any material part of and/or the Liens Lenders the Liens, rights, powers and privileges purported to be created therebyby the Loan Documents; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or any Loan Party asserts that any Lien purported to be created or perfected by the Collateral Documents is invalid or not so perfected; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent Collateral Agent, for the benefit of the Lenders, any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan DocumentDocument or the Liens purported to be created thereby; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason (other than as expressly permitted hereunder or thereunder thereunder, or as a result if the satisfaction in full of all the Obligations, or any action or failure to act on the part of the Administrative Agent or any Lender), ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases fails to give the Administrative Agent, the Collateral Agent any and/or the Lenders the Liens, material part of the Liens rights, powers and privileges purported to be created therebyby the Loan Documents; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan DocumentDocuments, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document or any Lien on a material portion of the Collateral granted under any Security Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document or any Lien granted under any Security Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document or any Lien granted under any Security Document; or

Invalidity of Loan Documents. Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party the Borrower or any other Person contests in any manner the validity or enforceability of any material provision of any Loan Document; or any Loan Party the Borrower denies that it has any or further liability or obligation under any provision Loan Document (other than as a result of any Loan Documentrepayment in full of the Obligations and termination of the Commitments), or purports to revoke, terminate or rescind any material provision of any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases fails to give the Administrative Agent any material part of Lenders the Liens rights, powers and privileges purported to be created therebyby the Loan Documents; or any Loan Party or any other Person on behalf of a Loan Party contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the ObligationsObligations (other than contingent indemnity obligations and Obligations in respect of Guaranteed Swap Agreements and Guaranteed Treasury Management Agreements), ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any Loan Document or any material provision of any Loan Documentthereof, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder (including pursuant to Section 2.06) or satisfaction in full of all the Obligations, Obligations (i) ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created thereby; effect, (ii) or any Loan Party or any other Person contests in any manner the validity or enforceability of any Loan Document or any provision of any Loan Document; thereof, or (iii) any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan DocumentDocument or any provision thereof; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than (x) as expressly permitted hereunder or thereunder or thereunder, (y) satisfaction in full of all the ObligationsObligations or (z) as a result of any action or inaction on the part of the Administrative Agent or any Lender, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Invalidity of Loan Documents. Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases (other than pursuant to give the Administrative Agent any material part of the Liens purported to be created therebya termination permitted hereunder); or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases ceaaes to give the Administrative Agent Agent, for the benefit of the Lenders, any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party contests (or any other Person contests threatens to contest) in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has is bound by any Loan Document which purports to bind such Loan Party other than in connection with a defense of Payment in Full, or further liability purports to (or obligation under threatens to) revoke, terminate or rescind any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent Agent, for the benefit of the Lenders, any material part of the Liens purported to be created thereby; or any Loan Party or any other Person Affiliate of a Loan Party contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; oror (k) Change of Control . There occurs any Change of Control; or (l)

Invalidity of Loan Documents. Any provision of any Loan Document, at or any time after its execution and delivery and Lien granted thereunder, for any reason reason, other than than, as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligationsupon Termination Date, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person Affiliate thereof repudiates, challenges or contests in any manner the validity or enforceability of any provision of any Loan Document, Obligation or any Lien granted to Lender pursuant to the Security Instruments (including the perfection or priority thereof); or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases fails to give the Administrative Agent any material part of and/or the Liens Lenders the Liens, rights, powers and privileges purported to be created therebyby the Loan Documents; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan 107 Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan DocumentDocument (other than a release of a Subsidiary Guarantor made in accordance with the provisions of the Loan Documents), or purports to revoke, terminate or rescind any provision of any Loan Document; or

Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part of the Liens purported to be created therebyeffect; or any Loan Party Party, any Restricted Subsidiary or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party or any Restricted Subsidiary denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent Lender any material part of the Liens purported to be created thereby; or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of or any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any provision of any Loan Document, or any Lien granted thereunder, at any time after its execution and delivery and for any reason reason, other than as expressly permitted hereunder or thereunder or satisfaction upon Payment in full Full of all the Obligations, ceases to be in full force and effect or ceases (except with respect to give the Administrative Agent any material part of the Liens purported to be created therebyimmaterial assets); or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of Loan Document or any Loan DocumentLien granted to the Lender pursuant to the Security Instruments; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

Invalidity of Loan Documents. Any material provision of any Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or satisfaction in full of all the Obligations, ceases to be in full force and effect or ceases to give the Administrative Agent any material part (other than as a result of the Liens purported failure of any Administrative Agent, Collateral Agent, L/C Issuer or Lender to be created therebyact); or any Loan Party or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or
