Common use of Invalidity of Transaction Documents Clause in Contracts

Invalidity of Transaction Documents. Any provision of any Transaction Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the payment in full in cash of all the Obligations, ceases to be in full force and effect; or the Borrower, the Custodian, any Governmental Authority or any investor in the Borrower or any Affiliate of the Borrower contests in any manner the validity or enforceability of any provision of any Transaction Document; or the Borrower denies that it has any or further liability or obligation under any Transaction Document, or purports to revoke, terminate or rescind any provision of any Transaction Document;

Any provision of any Transaction Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the payment satisfaction in full in cash of all the Obligations, ceases to be in full force and effect; or the Borrower, the Custodian, any Governmental Authority Company or any investor in the Borrower or any Affiliate of the Borrower other Person contests in any manner the validity or enforceability of any provision of any Transaction Document; or the Borrower Company or any Affiliate of the Company denies that it has any or further liability or obligation under any provision of any Transaction Document, or purports to revoke, terminate or rescind any provision of any Transaction Document;; or

Invalidity of Transaction Documents. Any material provision of any Transaction Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the payment satisfaction in full in cash of all the Obligations, ceases to be in full force and effect; or the Borrower, the Custodian, Guarantor or any Governmental Authority or any investor in the Borrower or any Affiliate of the Borrower contests in any manner writing the validity or enforceability of any provision of any Transaction Document; or the Borrower or the Guarantor denies in writing that it has any or further liability or obligation under any Transaction Document, or purports to revoke, terminate or rescind (except as permitted thereunder) any provision of any Transaction Document;
