Common use of Inventions and Discoveries Clause in Contracts

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementNon-Competition Period.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Fairway Group all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company Fairway Group any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to in the CompanyFairway Group. Executive shall assist the Company Fairway Group in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementNon-Competition Period.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, after the Term of Employment that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his Executive’s employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him or her as a consequence of his Executive’s employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his Executive’s rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, after the Term of Employment that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

(a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the CompanyFairway Group, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the CompanyFairway Group) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatesEmployment Term, solely or jointly with others, in using the Fairway Group’s resources, or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates Fairway Group known to him her as a consequence of his her employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Fairway Group all his her rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company Fairway Group any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to in the CompanyFairway Group. Executive shall assist the Company Fairway Group in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for her time and reimbursed her reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementNon-Competition Period.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall will promptly and fully disclose to TRMG and the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of TRMG or the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatesTerm, solely or jointly with others, in others or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, TRMG all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company TRMG any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to the Companyin TRMG. Executive shall will assist the Company TRMG in obtaining such trademarks, copyrights or patents during the term of this AgreementTerm, and at any time thereafter thereafter, on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that that, following the Non-Competition Period, Executive shall will be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed for his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementtestimony.

Inventions and Discoveries. (a) Upon execution of this Agreement General Release of Claims and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his her employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him her as a consequence of his her employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his her rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this AgreementGeneral Release Of Claims, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementtestimony.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, provided however, that Executive shall be compensated in a timely manner at the rate of $250 100.00 per day hour (or portion thereofwith a minimum of $500 per day), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementhis employment.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution Employee hereby assigns, transfers and conveys to the Company all of this Agreement the Employee’s right, title and thereafterinterest to, Executive and shall promptly and fully disclose to the President of Bolt and to the Board of Directors of the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveriesideas, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods (whether copyrightable, patentable discoveries or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive improvements (whether or not at the request patentable) conceived or upon the suggestion of the Company) during the period of his employment withdeveloped solely, or rendering jointly with others, by Employee during his term of advisory employment, (a) which relate directly or consulting services to, indirectly to the business of the Company or any of its subsidiaries and affiliates, solely the Bolt Group as conducted at any time during his term of employment; (b) which relate to the actual or jointly with others, in anticipated research or relating to any development activities of the Company or its subsidiaries and affiliates known to him as a consequence any of his employment the Bolt Group; (c) which result from any work performed by Employee for the Company or any of the rendering Bolt Group; or (d) for which Confidential Information of advisory and consulting services hereunder (collectively the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to Company or any of the Bolt Group was used. Upon the request of the Company, all his rights, title Employee shall execute and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawingsinstruments, notesdocuments and papers, specifications give evidence and data relating do any and all other acts which the Company deems necessary or desirable to document such assignment, transfer and conveyance, or to enable the Subject MatterCompany to file and prosecute applications for, and to executeacquire, acknowledge maintain and deliver all such further papersenforce, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries patents, trademark registrations or copyrights under United States or foreign law with respect to any such discoveries, or to obtain any extension, validation, reissue, continuance or renewal of any such patent, trademark or copyright. The Company will be responsible for the preparation of any such instruments, documents and to vest title thereto to papers and shall reimburse Employee for all reasonable expenses incurred by him in complying with the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term provisions of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject MatterParagraph 13; provided, however, that Executive Employee shall not be compensated in a timely manner at the rate entitled to any further compensation or consideration for performance of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after his obligations under this Paragraph 13. The obligations of Employee under this Paragraph 13 shall survive the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall will promptly and fully disclose to the Company, and provide the Company with all necessary detail for a complete understanding of the sameof, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatesTerm, solely or jointly with others, in others or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company or its designee all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company or its designee any and all drawings, notes, specifications and data relating to the Subject Matter, Matter and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to in the Company. Executive shall will assist the Company in obtaining such trademarks, copyrights or patents during the term of this AgreementTerm, and at any time thereafter thereafter, on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that that, following the Non-Competition Period, Executive shall will be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed for his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementtestimony.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his her rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. (b. The Company and Executive acknowledge that Executive has previously authored a book and other published material, and may do so again in the future, and that any such published material authored by Executive does not constitute Subject Matter subject to this Agreement, provided however, that any such published material does not also constitute Confidential Information and Trade Secrets within the meaning of Section 8(a) above. Except for any previously published material or to be published material authored by Executive, Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company at the Company’s sole expense. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, after the Employment Term that Executive shall be compensated in a timely manner at the rate of $250 1,000.00 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-of- pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

(a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, designs, sketches, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, with the Company or any of its subsidiaries and affiliatesCompany, solely or jointly with others, in using the G-III Group’s resources, or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates G-III Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof the Subject Matter in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementtestimony.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his her employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his her employment or the rendering of advisory and consulting services hereunder (collectively the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his her rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, after the Term of Employment that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution Insofar as is related to the principal business activities and products of this Agreement the Company and thereafterany of its subsidiaries or joint ventures, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods of a financial or other nature (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatessubsidiaries, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder others (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 250.00 per day hour (or portion thereofwith a minimum of $1500 per day), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementhis employment hereunder.

(a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, any member of the Company or any of its subsidiaries and affiliatesABC Group, solely or jointly with others, others in or relating to any activities of the Company or its subsidiaries and affiliates ABC Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 500.00 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementSeverance Period.

(a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, designs, sketches, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written ​ during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, with the Company or any of its subsidiaries and affiliatesCompany, solely or jointly with others, in using the G-III Group’s resources, or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates G-III Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof the Subject Matter in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementtestimony.

(a) Upon execution of this Agreement and thereafter, Executive shall will promptly and fully disclose to TRMG and the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of TRMG or the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatesTerm, solely or jointly with others, in others or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, TRMG all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company TRMG any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to the Companyin TRMG. Executive shall will assist the Company TRMG in obtaining such trademarks, copyrights or patents during the term of this AgreementTerm, and at any time thereafter thereafter, on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that that, following the Non-Competition Period, Executive shall will be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed for his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreementtestimony.

Inventions and Discoveries. (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that if these efforts are required after this Agreement has been terminated that the Executive shall be compensated in a timely manner at the rate of $250 250.00 per day hour (or portion thereofwith a maximum of $1500 per day), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after of his employment hereunder. (c) The Company acknowledges that the termination Executive has certain intellectual properties outside of the basic business and technology that are the principal business activities of the Company, and therefore need to be listed and considered exempt from any obligation(s) the Executive may have as written in Sections 11 (a) and 11 (b) of this Agreementagreement. The Executive warrants and guarantees that in the delivery of this listing (see attached Exhibit C) to the Company, that none of the specific inventions, technologies, intellectual properties, know-how and trade secrets relate in any way to the Company's principal business activities, known as the transdermal delivery (patch) of pharmaceutical compounds using ultrasonic technologies in its processes. If any of the listed items in Exhibit C are found in the future to be useful or beneficial to the Company's pursuit of its principal business, the Executive agrees herein that those specific inventions, technologies, intellectual properties, know-how and trade secrets will be made available to the Company free of any costs, fees, royalties, commissions or charges. The Company acknowledges the existence of certain relationships now in effect by and between the Executive and companies and/or individuals as outlined in Exhibit C; that there may be revenues generated from those relationships that flow to the Executive; that those relationships may generate future revenues that flow to the Executive from business activities outside of the scope of this Agreement relating to certain inventions, technologies, intellectual properties, know-how and trade secrets as listed herein in Exhibit C; and that the Company will not interfere, nor object to these pursuits as outlined.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, designs, sketches, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatesEmployment Term, solely or jointly with others, in using the G-III Group’s resources, or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates G-III Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof the Subject Matter in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementNon-Competition Period.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his her rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

(a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-know how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, developed, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatesEmployment Term, solely or jointly with others, in using the Fairway Group’s resources, or relating to any current or proposed business or activities of the Company or its subsidiaries and affiliates Fairway Group known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively collectively, the “Subject Matter”). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementNon-Competition Period.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, Company all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for trademarks, copyrights or patents, as may be necessary to obtain trademarks, copyrights and patents for any thereof the Subject Matter in any and all countries and to vest title thereto to in the Company. Executive shall assist the Company in obtaining such trademarks, copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that following termination of employment Executive shall be reasonably compensated in a timely manner at the rate of $250 per day (or portion thereof), plus for his time and reimbursed his reasonable out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementNon-Competition Period.

(b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, after the Term of Employment that Executive shall be compensated in a timely manner at the rate of $250 1,000.00 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution of this Amended Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, in or relating to any activities of the Company or its subsidiaries and affiliates known to him his as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Amended Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, after the Term of Employment that Executive shall be compensated in a timely manner at the rate of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Amended Agreement.

(a) Upon execution of this Agreement and thereafter, thereafter Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-know- how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his her employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, others in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his her employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, ) all his her rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. (a) Upon execution of this Agreement and thereafter, Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliatessubsidiaries, solely or jointly with others, others in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 1,500.00 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this AgreementSeverance Period.

(a) Upon execution of this Agreement and thereafter, Executive Employee shall promptly and fully disclose to the CompanyZygo, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive Employee (whether or not at the request or upon the suggestion of the CompanyZygo) during the period of his employment withwith the Company, or rendering of advisory or consulting services to, the Company Zygo or any of its their respective subsidiaries and or affiliates, solely or jointly with others, in all instances in or relating to any activities of the Company Company, Zygo or its their respective subsidiaries and or affiliates known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). The Company will be responsible for the preparation of any such instruments, document and to vest title thereto to papers and shall reimburse Xxxxx for all reasonable expenses incurred by him in complying with the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term provisions of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject MatterParagraph 10; provided, however, that Executive Xxxxx shall not be compensated in a timely manner at the rate entitled to any further compensation or consideration for performance of $250 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after his obligations under this Paragraph 10. The obligations of Xxxxx under this Paragraph 10 shall survive the termination of this Agreement.

Inventions and Discoveries. (a) Upon execution of this Agreement and thereafter, thereafter Executive shall promptly and fully disclose to the Company, and with all necessary detail for a complete understanding of the same, all existing and future developments, know-how, discoveries, inventions, improvements, concepts, ideas, writings, formulae, processes and Methods (whether copyrightable, patentable or otherwise) made, received, conceived, acquired or written during working hours, or otherwise, by Executive (whether or not at the request or upon the suggestion of the Company) during the period of his employment with, or rendering of advisory or consulting services to, the Company or any of its subsidiaries and affiliates, solely or jointly with others, others in or relating to any activities of the Company or its subsidiaries and affiliates known to him as a consequence of his employment or the rendering of advisory and consulting services hereunder (collectively the “"Subject Matter”"). (b) Executive hereby assigns and transfers, and agrees to assign and transfer, to the Company, all his rights, title and interest in and to the Subject Matter, and Executive further agrees to deliver to the Company any and all drawings, notes, specifications and data relating to the Subject Matter, and to execute, acknowledge and deliver all such further papers, including applications for copyrights or patents, as may be necessary to obtain copyrights and patents for any thereof in any and all countries and to vest title thereto to the Company. Executive shall assist the Company in obtaining such copyrights or patents during the term of this Agreement, and at any time thereafter on reasonable notice and at mutually convenient times, and Executive agrees to testify in any prosecution or litigation involving any of the Subject Matter; provided, however, that Executive shall be compensated in a timely manner at the rate of $250 1,000 per day (or portion thereof), plus out-of-pocket expenses incurred in rendering such assistance or giving or preparing to give such testimony if it is required after the termination of this Agreement.
