Common use of Inventions and Proprietary Rights Clause in Contracts

Inventions and Proprietary Rights. The term “Proprietary Rights” shall mean all trade secret, patent, copyright, mask work and other intellectual property rights throughout the world. The term “Inventions” is defined in Section 1.2 above. The term “Company Inventions” shall mean all Inventions, and all Proprietary Rights with respect to Inventions, that I have, directly or indirectly, alone or jointly with others, made, authored, conceived, developed or reduced to practice during my employment with the Company and for one (1) year thereafter, as well as any and all patent applications filed by me or by a third party based on such Inventions.
