Common use of Inventions Necessary to the License Clause in Contracts

Inventions Necessary to the License. If Myogen conceives and reduces to practice during the term of this Agreement any new Technology relating to a Development Candidate or Drug Product and covered by a Myogen Patent, or acquires or Controls (either on the Effective Date or at any time during the term of this Agreement) any Patent on a Technology, and such Technology is necessary to NIBRI’s exercise of its licensed rights in the Cardiac Field, then the definition of Myogen Patent will be deemed to include such Patents that are included within the licenses granted to NIBRI under this Agreement.
