Common use of Inventory of Baggage Clause in Contracts

Inventory of Baggage. The representatives of Hersha Owner and of Owner JV shall prepare an inventory of baggage at the Hotel as of the Closing Date (which inventory of baggage shall be binding on all Parties) of (i) all luggage, valises and trunks checked in or left in 17 the care of the Hotel by registered guests then or formerly in the Hotel, (ii) parcels, laundry, valet packages and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel (excluding, however, property in Hotel’s safe deposit boxes), and (iii) all items contained in the Hotel’s “lost and found.” Owner JV shall be responsible from and after the Closing Date for all baggage and other items listed in such inventory of baggage, and Owner JV shall indemnify, defend and hold Hersha Owner and any affiliate thereof harmless from and against any claim, liability, cost or expense (including reasonable attorneys’ fees) relating thereto. Hersha Owner shall indemnify, defend and hold harmless Owner JV and its affiliates from any liability, claim cost or expense to the extent relating to guest baggage, package and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel arising or attributable to the period prior to the Closing Date and not noted on the inventory provided in this Section 3.7.

Hersha Owner shall indemnify, defend and hold harmless Owner JV and its affiliates from any liability, claim cost or expense to the extent relating to guest baggage, package and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel arising or attributable to the period prior to the Closing Date and not noted on the inventory provided in this Section 3.7.

Inventory of Baggage. The representatives of Hersha Owner Seller and/or Hotel Manager, and of Owner JV Buyer shall prepare an inventory of baggage at the Hotel as of 9:00 a.m. on the Closing Date (which inventory of baggage shall be binding on all Partiesparties thereto) of (i) all luggage, valises and trunks checked in or left in 17 the care of the Hotel by registered guests then or formerly in the Hotel, (ii) parcels, laundry, valet packages and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel (excluding, however, property in Hotel’s Hotel safe deposit boxes), and (iii) all items contained in the Hotel’s Hotel “lost and found.” Owner JV ”. Buyer shall be responsible from and after the Closing Date for all baggage and other items listed in such inventory of baggage, and Owner JV Buyer shall indemnify, defend and hold Hersha Owner Seller and any affiliate thereof the Seller Indemnified Parties harmless from and against any claim, liability, out-of-pocket cost or expense (including reasonable attorneys’ fees) actually incurred by Seller or any Seller Party to the extent relating theretoto items listed in such inventory. Hersha Owner Seller shall indemnify, defend and hold harmless Owner JV Buyer and its affiliates from any other any claim, liability, claim out-of-pocket cost or expense (including reasonable attorneys’ fees) to the extent relating to guest baggage, package packages and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel arising or attributable to the period prior to the Closing Date and not noted on the inventory provided in this Section 3.75.3. The provisions of this Section 5.3 shall survive the Closing (and not be merged into the Ground Lease Assignment Agreement).

Inventory of Baggage. The representatives of Hersha Owner Owner, Operating Lessee and/or Manager, and of Owner JV Purchaser shall prepare an inventory of baggage at the each Hotel as of 12:00 noon on the Closing Date (which inventory of baggage shall be binding on all Partiesparties thereto) of (i) all luggage, valises and trunks checked in or left in 17 the care of the Hotel by registered guests then or formerly in the Hotel, (ii) parcels, laundry, valet packages and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel (excluding, however, property in Hotel’s Hotel safe deposit boxes), and (iii) all items contained in the Hotel’s Hotel “lost and found.” Owner JV ”. Purchaser shall be responsible from and after the Closing Date for all baggage and other items listed in such inventory of baggage, and Owner JV Purchaser shall indemnify, defend and hold Hersha Owner Owner, Operating Lessee and Manager (as manager under the Management Agreements) and any affiliate Affiliate thereof harmless from and against any claim, liability, cost or expense (including reasonable attorneys’ fees) incurred by Owner, Operating Lessee or Manager (as manager under the Management Agreement) or any Affiliate thereof to the extent relating theretoto items listed in such inventory. Hersha Wyndham and Owner shall indemnify, defend and hold harmless Owner JV Purchaser, Purchaser’s manager and its affiliates their Affiliates from any other any claim, liability, claim cost or expense (including reasonable attorneys’ fees) to the extent relating to guest baggage, package packages and other property of guests checked or left in the care of the Hotel by registered guests then or formerly in the Hotel arising or attributable to the period prior to the Closing Date and not noted on the inventory provided in this Section 3.77.8. The provisions of this Section 7.8 shall survive the Closing.
