Inventory on Hand Clause Samples

Inventory on Hand. In the event this Agreement is terminated for any reason, Celldex and its Sublicensees shall have the right to sell or otherwise dispose of the inventory of any Product subject to this Agreement then on hand until the first anniversary of the effective date of such termination, any such sale or distribution to be subject to the relevant terms of this Agreement, including without limitation Articles 5, 6 and 7.

Inventory on Hand. Buyer shall purchase the quantities of finished goods Products in inventory of Supplier or its Affiliates (“Inventory”) on the First Closing Date for the Purchase Price determined in accordance with Section 5.1, including any partial Batches (as defined in Section 2.3 below). Within thirty (30) days after the Effective Date, Supplier shall deliver the Inventory to Buyer in accordance with Section 3.1, subject to acceptance by Buyer in accordance with Section 3.2. Except as otherwise provided in this Agreement, the other terms and conditions of this Agreement shall apply to such Product to the same extent as if it were ordered pursuant to a Purchase Order furnished pursuant to Section 2.3.

Inventory on Hand. Upon termination or expiration of this Agreement for any reason other than for non-payment of Royalties and Milestone Payments, Licensee and its Sublicensees may sell or otherwise distribute the inventory of any Product then on hand until the first anniversary of the date of such termination. All such sale or distribution shall be subject to the relevant terms of this Agreement (including the payment of Royalties thereon).

Inventory on Hand. In the event this Agreement is terminated for any reason, MedImmune and its Sublicensees shall have the option to sell or otherwise distribute the inventory of any Licensed Product then on hand until the first anniversary of the effective date of such termination pursuant to the licenses granted hereunder. If such option is exercised, such sale or distribution shall be subject to the relevant terms of this Agreement (including, without limitation, the payment of Royalties thereon).

Inventory on Hand. In the event this Agreement is terminated for any reason, BioTie and its Sublicensees shall have the right to sell or otherwise dispose of the inventory of any Product subject to this Agreement then on hand until the first anniversary of the effective date of such termination, any such sale or distribution to be subject to the relevant terms of this Agreement, including without limitation Articles 2, 3, 4 and 5.

Inventory on Hand. Your supply of authentic Scentsy products that you previously ordered, physically stored, or have in your possession.

Inventory on Hand. In the event KB purchases from KBI-E all of KBI-E's rights to the Assignment Compounds pursuant to the terms of this Agreement, KBI shall assign to KB an amount of receivables from the Partnership or an assignee of the Partnership's distribution rights under the Distribution Agreement equal to the Standard Mark-▇▇ (calculated without regard to Section 3.7(c) of the Master Agreement) included in the Supply Price (as defined in the KBI Supply Agreement) for trade inventory of Assignment Compounds held by the Partnership or such assignee on the Assignment Date.
