INVESTIGATION BY NOTE TRUSTEE. Each Noteholder acknowledges that: (a) the Note Trustee has no duty, and is under no obligation, to investigate whether a Trust Manager's Default has occurred in relation to the Trust other than where it has actual notice; and (b) in making any determination, the Note Trustee may seek and rely on advice given to it by its advisors in a manner contemplated by this deed.
