Common use of Investigation by Purchaser Clause in Contracts

Investigation by Purchaser. Parent and Sellers will (i) provide Purchaser and any Person who is considering providing financing to Purchaser to finance all or any portion of the Purchase Price and their respective officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (collectively, "REPRESENTATIVES") with reasonable access, upon reasonable prior notice, during normal business hours and subject to reasonable scheduling, to such Employees and agents of Sellers who have significant responsibility for the conduct of the Business, to Parent's and Sellers' accountants and to the Assets, and (ii) furnish Purchaser and such other Persons with all such information and data (including, without limitation, copies of Business Contracts, Business Licenses, and other Business Books and Records) concerning the Business, the Assets and the Assumed Liabilities as Purchaser or any of such other Persons reasonably may request in connection with such investigation.

Parent Sellers and Sellers will Willxxx Xxx Xxxxxx xxxl (ia) provide Purchaser and any Person who is considering providing financing to Purchaser to finance all or any portion of the Purchase Price and their respective officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (collectively, "REPRESENTATIVESRepresentatives") with reasonable full access, upon reasonable prior notice, notice and during normal business hours and subject to reasonable schedulinghours, to the Employees and such Employees other officers, employees and agents of Sellers who have significant any responsibility for the conduct of the Business, to Parent's and Sellers' accountants and to the Assets, and (iib) furnish Purchaser and such other Persons with all such information and data (including, including without limitation, limitation copies of Business Contracts, Business Licenses, Benefit Plans and other Business Books and Records) concerning the Business, the Assets and the Assumed Liabilities as Purchaser or any of such other Persons may reasonably may request in connection with such investigation.
