Common use of Investigation by Purchaser Clause in Contracts

Investigation by Purchaser. The Seller will, and will cause the Company to, (a) provide Purchaser and its officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (together "Representatives") with full access, upon reasonable prior notice and during normal business hours, to all officers, employees, agents and accountants of the Company and their Assets and Properties and Books and Records, and (b) furnish Purchaser and such other Persons with all such information and data (including without limitation, and if applicable, copies of Contracts, and other Books and Records) concerning the business and operations of the Company as Purchaser or any of such other Persons reasonably may request in connection with such investigation.

Investigation by Purchaser. The Seller Sellers will, and will cause the Company to, (a) provide Purchaser and its officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (together "“Representatives"”) with full access, upon reasonable prior written notice and during normal business hours, to all officers, employees, agents and accountants of the Company and their its Assets and Properties and Books and Records, and (b) furnish Purchaser and such other Persons with all such information and data (including without limitation, and if applicable, limitation copies of Contracts, Benefit Plans and other Books and Records) concerning the business and operations of the Company as Purchaser or any of such other Persons reasonably may request in connection with such investigation.

Investigation by Purchaser. The Seller Sellers will, and will cause the Company to, (a) provide Purchaser and its officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (together "RepresentativesREPRESENTATIVES") with full access, upon reasonable prior notice and during normal business hours, to all officers, employees, agents and accountants of the Company and their its Assets and Properties and Books and Records, and (b) furnish Purchaser and such other Persons with all such information and data (including without limitation, and if applicable, limitation copies of Contracts, Benefit Plans and other Books and Records) concerning the business and operations of the Company as Purchaser or any of such other Persons reasonably may request in connection with such investigation.

Investigation by Purchaser. The From the date hereof until the Closing and thereafter for so long as Seller willowns any equity interest in the Company, and will cause each of the Company to, Sellers shall: (a) cooperate with and provide Purchaser and its officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (together "Representatives") with full access, upon reasonable prior notice and during normal business hours, to all officers, employees, agents and accountants of the Company and their its Assets and Properties and Books and RecordsRecords and to officers, employees, agents and accountants, and (b) furnish Purchaser and such other Persons representatives with all such information and data (including without limitation, and if applicable, copies of Contracts, Benefit Plans and other Books and Records) concerning the business and operations of the Company Company, as Purchaser or any of such other Persons representatives reasonably may request in connection with such investigation.

The Seller will, and Sellers will cause the Company to, (a) provide Purchaser and its officers, directors, employees, agents, counsel, accountants, financial advisors, consultants and other representatives (together "Representatives") with full access, upon reasonable prior notice and during normal business hours, to all the Employees and such other officers, employees, employees and agents and accountants of Sellers who have any responsibility for the conduct of the Company Business, to Sellers' accountants and their Assets and Properties and Books and Recordsto the Assets, and (b) furnish Purchaser and such other Persons with all such information and data (including without limitation, and if applicable, limitation copies of Business Contracts, Business Licenses, Benefit Plans and other Business Books and Records) concerning the business Business, the Assets and operations of the Company Assumed Liabilities as Purchaser or any of such other Persons reasonably may request in connection with such investigation.
