Common use of Investigations and Due Diligence Clause in Contracts

Investigations and Due Diligence. The Parties have conducted discovery and investigations into the facts and the law during their respective prosecution and defense of this Case. As part of this review and investigation, the Parties and their counsel have (a) interviewed witnesses; (b) collected and analyzed extensive electronic and paper time records, payroll data, and other information concerning the composition of the Settlement Class and the merits and possible extent of Plaintiff’s claims and NNA’s defenses; and (c) amply considered and analyzed their respective claims and defenses.
