Investment Acquisition. Acquiror Company is acquiring Orient Come’s Shares to be transferred to it under this Agreement for investment and not with a view to the sale or distribution thereof. There are no other agreements purporting to restrict the issuance or transfer of the Acquiror Company Shares nor any voting agreements, voting trusts or other arrangements restricting or affecting the voting of the Acquiror Company Shares.
