Common use of Investment Advice and Research Services Clause in Contracts

Investment Advice and Research Services. If and to the extent requested by the U.S. Sub-Advisor, the Foreign Sub-Advisor shall provide investment advice and research services, particularly with respect issuers, companies, governments and economic conditions outside of the U.S. and Canada, to the U.S. Sub-Advisor on behalf of each Portfolio with respect to all or a portion of the investments of such Portfolio. In connection with providing such investment advice and research services, the Foreign Sub-Advisor shall furnish to the U.S. Sub-Advisor on behalf of each Portfolio such factual information, research reports and investment recommendations as the U.S. Sub-Advisor may reasonably require. Such information may include written and oral reports and analyses. In particular, the Foreign Sub-Advisor will make determinations in accordance with Rule 2a-7 under the Investment Company Act of 1940 ("1940 Act") pursuant to procedures applicable to the Portfolios, as they may be amended from time to time.
