Common use of Investment Advisers Act Clause in Contracts

Investment Advisers Act. The Manager is duly registered as an investment adviser with the Commission. The Manager is not prohibited by the Investment Advisers Act of 1940, as amended, or the rules and regulations thereunder, from performing its obligations under the Management Agreement as described in the Registration Statement, the General Disclosure Package and the Prospectus.

Investment Advisers Act. The Manager is duly registered with the Commission as an investment adviser with under the Commission. The Investment Advisers Act of 1940, as amended (the “Investment Advisers Act”), and the Manager is not prohibited by the Investment Advisers Act of 1940, as amendedAct, or the rules and regulations thereunder, from performing its obligations under the Management Agreement as described in the Registration Statement, the General Disclosure Package and the Final Prospectus.

The Investment Advisers Act of 1940, as amended (the “Investment Advisers Act”), and the Manager is not prohibited by the Investment Advisers Act of 1940, as amendedAct, or the rules and regulations thereunder, from performing its obligations under the Management Agreement as described in the Registration Statement, the General Disclosure Package and the Prospectus.

There do not exist any proceedings, or, to the Manager’s knowledge, any facts or circumstances the existence of which could lead to any proceeding, which would adversely affect the registration of the Manager with the Commission.

The Manager is not prohibited by under the Investment Advisers Act of 1940, as amendedamended (the “Advisers Act”), and the Manager is not prohibited under the Advisers Act or the rules and regulations thereunder, from performing its obligations under the Management Agreement as described in the Registration Statement, the General Disclosure Package Statement and the Prospectus. The Manager has not received notice or inquiry from the Commission that its status as a registered investment adviser under the Advisors Act is under review or is pending revocation.
