Common use of Investment and Other Warranties Clause in Contracts

Investment and Other Warranties. Each Shareholder, by his or her execution of this Agreement, acknowledges and understands that, in connection with the Stock now or hereafter owned by him or her: (a) the Shareholder has been fully informed as to the circumstances under which he or she is required to hold the Stock pursuant to the requirements of the Securities Act of 1933, as amended (the "Act"); (b) the Company has informed the Shareholder that such Stock is not registered under the Act and may not be transferred or otherwise disposed of unless such Stock is subsequently registered under the Act or unless an exemption from such registration is available; and (c) the Shareholder has been informed that the Stock is subject to this Agreement and that a restrictive legend, referring to the restrictions set forth herein, has or will be placed upon the certificate(s) evidencing such Stock.
