Common use of Investment and Use of Funds Clause in Contracts

Investment and Use of Funds. The Title Company shall invest the deposit in government insured interest-bearing accounts satisfactory to Buyer and Seller, shall not commingle the Deposit with any funds of the Title Company or others, and shall promptly provide Buyer and Seller with confirmation of the investments made. If the Closing under this Agreement occurs, the Title Company shall deliver the Deposit to, or upon the instructions of, Buyer and Seller on the Closing Date. Provided such supplemental escrow instructions are not in conflict with this Agreement as it may be amended in writing from time to time, Seller and Buyer agree to execute such supplemental escrow instructions as may be appropriate to enable Title Company to comply with the terms of this Agreement. For purposes of tax reporting, the Deposit shall be invested on behalf of Buyer, with interest to be paid in accordance with Section 2 of this Agreement. Seller and Buyer agree to execute and deliver to the Title Company originally executed W-9 forms.
