INVESTMENT BANKER FEES. Fees and expenses incurred in connection with the determination of the Joint Venture Value, including, without limitation, investment banker fees, will be paid by the party in default as certified by the arbitrators; provided, however, that all such fees and expenses will be paid by the non-defaulting party if the non-defaulting party fails to exercise the Option.
