Common use of Investment Bankers, Financial Advisors, Brokers and Finders Clause in Contracts

Investment Bankers, Financial Advisors, Brokers and Finders. (a) The Selling Parties shall indemnify and agree to defend and hold Buyer and the Partnership Entities harmless against and in respect of all claims, losses, liabilities and expenses which may be asserted against Buyer (or any Affiliate of Buyer) and the Partnership Entities by any broker or other person who claims to be entitled to an investment banker's, financial advisor's, broker's, finder's or similar fee or commission in respect of the execution of this Agreement or the consummation of the transactions contemplated hereby, by reason of his acting at the request of Parent, the Selling Parties or the Partnership Entities.
