Common use of Investment Banking and Finder's Fees Clause in Contracts

Investment Banking and Finder's Fees. No Obligated Party shall pay or agree to pay, or reimburse any other party with respect to, any investment banking or similar or related fee, underwriter’s fee, finder’s fee, or broker’s fee to any Person in connection with this Agreement. The Obligated Parties shall defend and indemnify the Administrative Agent and the Lenders against and hold them harmless from (a) all claims of any Person that any Obligated Party is obligated to pay any such fees and (b) all costs and expenses (including reasonable attorneys’ fees and Attorney Costs) incurred by the Administrative Agent and/or any Lender in connection therewith.

The Obligated Loan Parties shall defend and indemnify the Administrative Agent and the Lenders against and hold them harmless from (a) all claims of any Person that any Obligated Party Borrower is obligated to pay any such fees and (b) all costs and expenses (including reasonable attorneys’ fees and Attorney Attorneys Costs) incurred by the Administrative Agent and/or any Lender in connection therewith.
