Common use of Investment Banking and Finder's Fees Clause in Contracts

Investment Banking and Finder's Fees. Neither the Parent nor any of its Subsidiaries shall pay or agree to pay, or reimburse any other party with respect to, any investment banking or similar or related fee, underwriter's fee, finder's fee, or broker's fee to any Person in connection with this Agreement. The Loan Parties shall defend and indemnify the Agent and the Lenders against and hold them harmless from all claims of any Person that the Parent or any of its Subsidiaries is obligated to pay for any such fees, and all costs and expenses (including without limitation, attorneys' fees) incurred by the Agent and/or any Lender in connection therewith.

The Loan Parties Borrower shall defend and indemnify the Agent and the Lenders against and hold them harmless from all claims of any Person that the Parent Borrower or any of its Subsidiaries is obligated to pay for any such fees, and all costs and expenses (including without limitation, attorneys' fees) incurred by the Agent and/or any Lender in connection therewith.

The Loan Parties Borrowers shall defend and indemnify the Agent and the Lenders against and hold them harmless from all claims of any Person that the Parent or any of its Subsidiaries Borrower is obligated to pay for any such fees, and all costs and expenses (including without limitation, reasonable attorneys' fees) incurred by the Agent and/or any Lender in connection therewith.

The Loan Credit Parties shall defend and indemnify the Administrative Agent and the Lenders against and hold them harmless from all claims of any Person that the Parent or any of its Subsidiaries is obligated to pay for any such fees, and all costs and expenses (including without limitation, attorneys' fees) incurred by the Administrative Agent and/or any Lender in connection therewith.
