Common use of Investment Intent of Limited Partners Clause in Contracts

Investment Intent of Limited Partners. Each Limited Partner by execution of this Agreement warrants to every other Partner and to the Partnership that such Limited Partner is acquiring its interest in the Partnership for purposes of investment only, for its own account (or where applicable in its fiduciary capacity) and not with the view to resell or to distribute the same or any part thereof, and that no other person has any interest in such Partnership interest or in the rights of such Limited Partner hereunder other than as a shareholder in such Limited Partner in the case of a corporate Limited Partner, partner in a partnership Limited Partner, in which case the names of and all requested information concerning all such partners have been disclosed to the General Partner, or as a participant or beneficiary of an employee benefit plan, trust or other entity with respect to which such Limited Partner is acting in a fiduciary capacity.
