Investment Knowledge. Each Investor has sufficient knowledge and experience in financial and business matters and the business in which the Company is engaged so as to be capable of evaluating the merits and risks of its investment in the Preferred Shares, Warrants, the shares of Common Stock issuable upon conversion of the Preferred Shares and the Warrant Shares, and is able to bear the economic risk of the loss of its investment in the Company. Each of the Investors is an "accredited investor" within the meaning of Rule 501 promulgated under the Securities Act.
