Investment Parameters. (a) The Fund shall invest subject to the Rules and only in securities, deposits and investments approved by the Securities & Exchange Commission and/or the Bangladesh Bank and/or the Controller of Insurance of Bangladesh. (b) The Schemes of the Fund shall not invest more than 10% of its total assets in any one particular company. (c) The Schemes of the Fund shall not invest in more than 15% of any company’s paid-up capital. (d) The Schemes of the Fund shall not invest more than 20% in shares, debentures or other securities of a single company or group. (e) The Schemes of the Fund shall not invest more than 25% of its total assets in shares, debentures or other securities in any one industry. (f) Not less than 75% of the total assets of the fund will be invested in capital market instruments out of which at least 50 per cent will be invested in listed securities. (g) Not more than 25% of the total asset of the fund will be invested in Fixed Income Securities (FIS). (h) Not more than 15% of the Fund shall be invested in pre-IPOs at one time. (i) The Fund shall not invest in or lend to another scheme under the same Asset Management Company. (j) The Fund shall not acquire any asset out of the Trust property, which involves the assumption of any liability that is unlimited or shall result in encumbrance of the Trust property in any way. (k) The Fund or the ICB Asset Management Company Ltd. on behalf of the Fund shall not give or guarantee term loans for any purpose or take up any activity in contravention of the Rules. (l) All money collected under the Fund shall be invested only in encash able / transferable instruments, securities whether in money market or capital market or privately placed Pre-IPO equity, debentures or securitized debts. (m) The Fund shall buy and sell securities on the basis of deliveries and shall, in all cases of purchases, take delivery of securities and in all cases of sale, deliver the securities on the respective settlement dates as per the custom and practice of the stock exchanges and shall in no case put itself in a position whereby it has to make short sale or carry forward transaction. (n) The Fund shall get the securities purchased or transferred in the name of the Mutual Fund. (o) The Fund shall not involve in option trading or short selling or carry forward transactions. Investment Parameters. 12.1 If you wish to make any change to the Investment Parameters you must first discuss it with us. The change will only become effective when you sign the amended Investment Parameters. 12.2 If at any time due to fluctuations in market prices, market conditions or any other reason outside our control, there shall be a material deviation from the specific guidelines set out in the Investment Parameters: 12.2.1 we shall not be in breach of the Investment Parameters provided we take such steps as may be necessary to ensure compliance within 30 days after such deviation occurs; and 12.2.2 if, in our judgement, the actions described in Special Term 12.2.1 above are not in your best interests, we may, prior to the expiry of the 30 day period, make a recommendation to you on the most appropriate way to deal with the deviation and, unless you approve our recommendation within 10 days in accordance with General Term 2, we shall not implement such recommendation but shall correct the deviation in accordance with Special Term 12.2.1 above. 12.3 You acknowledge and agree that after commencing the discretionary investment management service, if you change your Investment Parameters, transfer cash and/or Investments into or withdraw cash or Investments from your Investment Management Account, the composition of the assets in your Investment Management Account may not thereafter reflect your stated investment objectives.
Investment Parameters. 6.1 There are no limits with respect to US Treasury and agency obligations and money market funds. 6.2 Other asset classes are subject to no more than 5% of the aggregate market value of the portfolio at the time of investment in any one issuer, and no more than 5% of the total issue size outstanding.

Investment Parameters. Every November, February, May and August, beginning in November 1999, JEX xxxll advise Contango in writing of its estimate of capital expenditures ("CAPEX") to be incurred in the following fiscal quarter January-March, April-June, July- September, October-December, respectively, for purposes of acquiring Prospects and conducting oil and gas exploration and development activities thereon. Such report shall identify the Prospects to be acquired and those on which exploration and development activities are proposed to be conducted, and shall provide an allocation of the estimated CAPEX attributable to each such proposed investment and operation. Contango shall transfer funds to JEX xx the beginning of each month for the amount of CAPEX estimated to incurred during such month, based on the estimates previously provided by JEX. Xx the extent the actual CAPEX amounts to be paid by Contango for any month vary from the CAPEX estimate for such month provided by JEX xx Contango, Contango shall receive a credit from JEX xxxard future payments under this Section 1.3 to the extent the CAPEX estimate paid by Contango exceeds Contango's share of the actual CAPEX amounts for such month and Contango shall promptly transfer additional funds to JEX xx the extent Contango's share of the actual CAPEX amount for such month exceeds the CAPEX estimate paid by Contango. If the funds are not transferred on any Prospect in which Contango has not previously invested (a "New Prospect"), Contango shall be deemed to have elected not to participate in the oil and gas exploration or development operation(s) on such New Prospect that were to have been funded thereby, with the consequences of such election being that Contango shall relinquish all of its rights, titles and interests in and to such New Prospect to JEX, xxd such New Prospect shall no longer be subject to the terms of this Agreement. When Contango has transferred to JEX xxx initial monthly installment of CAPEX to be expended with respect to any New Prospect, all subsequent operations on such Prospect shall be subject to the terms of the Operating Agreement referred to in Section 1.6 hereof.
Investment Parameters. Holder agrees that, from the Closing Date, as defined in the Securities Purchase Agreement, until the date that Holder, together with its affiliates, no longer beneficially owns, as defined in Rule 13d-3 under the Securities Act, at least ten percent (10%) of the outstanding shares of the Company’s Common Stock, Holder shall not, directly or indirectly, dispose of any of its shares of Common Stock except, subject to the terms and conditions of this Agreement and applicable law, (i) in a widely dispersed public distribution; (ii) in a private placement in which no one party acquires the right to purchase more than five percent (5%) of the outstanding shares of Common Stock; (iii) an assignment to a single party (such as a broker, underwriter or investment banker) for the purpose of conducting a widely dispersed public distribution on Holder’s behalf; (iv) pursuant to Rule 144 under the Securities Act; or (v) pursuant to a tender or exchange offer to the Company’s stockholders.
