Investment Representations of Unitholders. Each Unitholder hereby represents, warrants and acknowledges to the Company that: (i) such Unitholder has such knowledge and experience in financial and business matters and is capable of evaluating the merits and risks of an investment in the Company and is making an informed investment decision with respect thereto; (ii) such Unitholder is acquiring interests in the Company for investment only and not with a view to, or for resale in connection with, any distribution to the public or public offering thereof and (iii) the execution, delivery and performance of this Agreement have been duly authorized by such Unitholder.
