Common use of Investment Risk Clause in Contracts

Investment Risk. Investor understands and acknowledges that (i) the Company has a limited financial and operating history and that an investment in the Company is highly speculative and involves substantial risks, (ii) the entire amount of Investor’s investment may be lost, (iii) Investor is in a financial condition to bear the loss of Investor’s investment, (iv) there are restrictions on Investor’s ability to cancel Investor’s subscription hereunder and obtain a return of Investor’s investment, (v) it may be difficult for Investor to resell the Shares and Conversion Shares and (vi) investing in the Shares involves risk, and Investor should not invest any funds in the Offering unless Investor can afford to lose the entire amount of Investor’s investment.
