Investments in Subsidiaries. of the Borrower (i) which have executed a Subsidiary Guaranty and a Security Agreement granting a first priority Lien in all its assets of the types or classes included in the Collateral to secure the Obligations and (ii) which have delivered to the Lenders such board resolutions, officer's certificates and opinions of counsel as the Administrative Lender shall reasonably request;
