Common use of Investor Conditions to Closing Clause in Contracts

Investor Conditions to Closing. The obligation of the Investor to make the investment in the Company contemplated herein shall be subject to the satisfaction of the following conditions precedent, in form and substance satisfactory to the Investor: (a) RESOLUTIONS; INCUMBENCY. The Investor shall have received each of the following: (i) Copies of the resolutions of the Board of Directors of the Company authorizing the transactions contemplated hereby, certified as of the Closing by the Secretary or an Assistant Secretary of the Company; and (ii) Certificates of the Secretary or Assistant Secretary of the Company, dated as of the Closing, certifying the names, titles and true signatures of the officers of the Company authorized to execute, deliver and perform this Agreement and all other documents to be delivered by it hereunder;
