Investor Due Diligence. In making the investment in the Company and its Securities, the Investor is not acting on the basis of, or relying upon, any promotional materials, business plans, financial projections, representations or warranties other than those express representations and warranties contained in this Agreement, and the Investor has performed its own due diligence and has independently made such studies and investigations of the Company's business, the market for the Company's products and services, the Company and its management, as the Investor deems necessary to formulate its decision to purchase Securities pursuant to the terms of this Agreement.
