Common use of Investor Indemnity Clause in Contracts

Investor Indemnity. The Company, its respective Affiliates and Associates, and each officer, director, shareholder, employer, representative and agent of any of the foregoing (collectively, the "Company Indemnitees") shall each be indemnified and held harmless to the extent set forth in this Section 8, by the Investor, in respect of any and all Damages incurred by any Company Indemnitee as a proximate result of any inaccuracy or misrepresentation in, or breach of, any representation, warranty, covenant or agreement made by the Investor in this Agreement. Indemnification claims arising from the registration of the Purchased Shares under Federal and state securities laws are covered by Section 7(c) and not this Section 8.

Indemnification or other claims with respect to the other Transaction Agreements will be covered by the provisions of those agreements and not by this Section 8, and indemnification for claims arising from the registration of the Purchased Shares under Federal and state securities laws are covered by Section 7(c7(b) and not this Section 8.

Indemnification claims arising from the registration of the Purchased Shares under Federal and state securities laws are covered by Section 7(c7(b) and not this Section 8; provided, however, the indemnification obligations of the Investors hereunder shall be several, and not joint and several.

Indemnification claims arising from the registration of the Purchased Shares Securities under Federal and state securities laws are covered by Section 7(c) and not this Section 8.
