Common use of Investor Remedies Clause in Contracts

Investor Remedies. (a) The Investor undertakes that it will not bring any claim against the Corporation pursuant any Transaction Document (including a claim for Indemnification under Section 9) or in respect of any matter envisaged by the Transaction Documents prior to the end of the Certain Funds Period, and hereby waives any right to do so. The foregoing shall not limit or restrict any right of the Investor to bring any such claim (i) after the end of the Certain Funds Period or, if earlier, the time at which this Agreement terminates in accordance with Section 12, or (ii) in the case of fraud or deliberate or wilful breach of the Transaction Documents or illegal acts. (b) The Investor shall pay the Subscription Amount in accordance with Section 14 in full and without exercising any right of counterclaim, deduction, set-off or withholding or similar right, all of which the Investor waives.
