Common use of INVESTORS LOOK SOLELY TO FUND ASSETS Clause in Contracts

INVESTORS LOOK SOLELY TO FUND ASSETS. Neither the Directors nor any of their Affiliates shall have any personal liability to any Investor for the repayment of any amounts outstanding in the Capital Account of an Investor including, but not limited to, Capital Contributions. Any such payment shall be solely from the assets of the Fund. The Directors shall not be liable to any Investor by reason of any change in the federal income tax laws as they apply to the Fund and the Investors, whether such change occurs through legislative, judicial, or administrative action, so long as the Directors have acted in good faith and in a manner reasonably believed to be in the best interests of the Investors. Neither the Directors nor any of their Affiliates shall have any personal liability to repay to the Fund any portion or all of any negative amount of the Director's Capital Account except as otherwise provided in Section 15.03.
