Involuntary Termination for Just Cause. The Company -------------------------------------- reserves the right to terminate the Executive's employment for Just Cause. "Just Cause" shall exist if the Executive has: (i) willfully breached or habitually neglected the duties which he was required to perform under the terms of this Agreement, or (ii) committed act(s) of dishonesty, theft, embezzlement, fraud, misrepresentation, or other act(s) of moral turpitude against the Company, its subsidiaries or affiliates, its shareholders, or its employees. The Company shall give the Executive written notice of the termination and the reasons therefor. The Term of Employment shall terminate immediately upon receipt of the notice.
