Involuntary Termination On or Following Change of Control. If Executive’s employment with the Company (and any parent or subsidiary of the Company employing Executive) terminates as a result of an Involuntary Termination on or at any time within three (3) months before or twelve months (12) months after a Change of Control, and subject to Executive’s compliance with his obligations hereunder (including Sections 9, 10 and 11 below) Executive’s execution of the Release and its non-revocation by Executive and it becoming effective within sixty (60) days following the Termination Date as its faithful observance by the Executive, then in lieu of the severance benefits provided under Section 4(a) above, Executive shall be entitled to the following severance benefits:
