Involvement in Company Determinations. In the event that any determination must be made under this Agreement by the Stockholder Representatives or any dispute arises hereunder, should any representatives of the Stockholder Representatives or their Affiliates then be serving on the Board, such directors shall be excluded from all deliberations and actions of the Board related to such determination or dispute.
