Irish and General Guarantee Limitations. Notwithstanding any provision to the contrary in any First Lien Financing Document and/or any Second Lien Financing Document, the Guarantee shall not include any liability to the extent that a guarantee thereof would result in this Guarantee constituting unlawful financial assistance within the meaning of section 82 of the Irish Companies Act 2014 (as amended) or a breach of section 239 of the Irish Companies Act 2014 (as amended) or any equivalent and applicable provisions under the laws of any other relevant jurisdiction.
