Irrevocable and Coupled with an Interest; Copies to Be Transmitted. Pursuant to Section 18-106(d) of the Delaware Act, the powers of attorney granted under Section 14.11(a) are irrevocable and are coupled with an interest sufficient in law to support an irrevocable power. A copy of each material document executed by the Managing Members pursuant to the powers of attorney granted in Section 14.11(a) (or a summary thereof) shall, upon request, be transmitted to a Member.
