Common use of Irrevocable Appointment Clause in Contracts

Irrevocable Appointment. The appointment of the Sellers’ Representative hereunder is irrevocable and any action taken by the Sellers’ Representative pursuant to the authority granted in this Section 9.1 shall be effective and absolutely binding as the action of the Sellers’ Representative under this Agreement.

Irrevocable Appointment. The Subject to Sections 8.9(f) and 8.9(g), the appointment of the Sellers’ Representative hereunder is irrevocable and any irrevocable, except in the event of gross negligence, willful misconduct or fraud committed by the Sellers’ Representative. Any action taken by the Sellers’ Representative pursuant to the authority granted in this Section 9.1 8.9 shall be effective and absolutely binding as the action of the Sellers’ Representative under this Agreement.

Irrevocable Appointment. The appointment of the Sellers’ Seller Representative hereunder is irrevocable and any action taken by the Sellers’ Seller Representative pursuant to the authority granted in this Section 9.1 6.6 shall be effective and absolutely binding as the action of the Sellers’ Seller Representative under this Agreement.

Irrevocable Appointment. The Subject to Section 11.6, the appointment of the Sellers’ Representative hereunder is irrevocable and any action taken by the Sellers’ Representative pursuant to the authority granted in this Section 9.1 Article XI shall be effective and absolutely binding as the action of the Sellers’ Representative under this Agreement.

The Subject to Section 13.7, the appointment of the Sellers’ Representative hereunder is irrevocable and any action taken by the Sellers’ Representative pursuant to the authority granted in this Section 9.1 Article XIII shall be effective and absolutely binding as the action of the Sellers’ Representative under this Agreement or the Escrow Agreement.

The appointment of the Sellers’ Seller Representative hereunder is irrevocable and any action taken by the Sellers’ Seller Representative pursuant to the authority granted in this Section 9.1 9.17 shall be effective and absolutely binding as the action of the Sellers’ Seller Representative under this Agreement.

Irrevocable Appointment. The Subject to Section 8.12(d), the appointment of the Sellers’ Representative hereunder is irrevocable and any action taken by the Sellers’ Representative pursuant to the authority granted in this Section 9.1 8.12 shall be effective and absolutely binding as the action of the Sellers’ Representative under this AgreementRepresentative.
