Isotis Indemnification Clause Samples

Isotis Indemnification. Except to the extent a Claim is subject to indemnification by Keystone under Section 11.9(e), ▇▇▇▇▇▇ agrees to indemnify and defend the Keystone Indemnitees and hold the Keystone Indemnitees harmless from and against any and all Claims of Third Parties arising out of, in connection with, or resulting from (i) any breach of any representation, warranty, covenant or agreement made by any Isotis lndemnitee in this Agreement (including the failure of the Dental Products to comply with the Specifications), (ii) the violation of any Applicable Law, (iii) products liability resulting from the failure of the Dental Products to comply with the Specifications, (iv) any infringement or alleged infringement of any Third Party patent, copyright, trade secret or other intellectual property resulting from the failure of the Dental Products to comply with the Specifications, and (v) the gross negligence or willful or intentional misconduct of any lsotis Indemnitee.
