Israeli Law Requirements. In the event that the Holder does not comply with the Purchaser Israeli Undertakings (as set forth in the Purchase Agreement), any exercise of this Warrant may be subject to the special tender offer rules as provided in sections 328-335 of the Israeli Companies Law of 1999 and guidance of the Israel Securities Authority, or require the receipt of the Company’s shareholders approval in lieu of the special tender offer rules to the extent such approval exempts the Holder from conducting a special tender offer at that time. The resale of the Warrant Shares shall be subject to the restrictions set forth in Section 4.1 of the Purchase Agreement.

The resale of the Warrant Shares Conversion ADSs shall be subject to the restrictions set forth in Section 4.1 of the Purchase Agreement.
